Terms and Conditions
Transportation services and website use.
These Terms and Conditions govern transportation services, reservations, quotes, website use, forms, communications, and related services provided by WTM 365 Inc. dba U.S. Limosystems, operating as WTM365 | U.S. Limosystems. By requesting a quote, submitting a form, making or accepting a reservation, using our website or mobile services, or using transportation arranged by us, you agree to these Terms.
1. Company and Licensing Information
WTM365 provides and arranges professional chauffeured ground transportation services.
WTM 365 Inc. dba U.S. Limosystems, operating as WTM365 | U.S. Limosystems
Licensing and permits include NYC Taxi & Limousine Commission Base License #B03334 and Port Authority of New York & New Jersey Permit #AXA-170.
The Port Authority permit applies to authorized passenger pickup and drop-off operations at JFK International Airport, LaGuardia Airport and Newark Liberty International Airport, subject to applicable Port Authority rules, regulations, operating requirements, and airport procedures.
WTM365 may provide some transportation using vehicles directly available to or operated through WTM365. We may also arrange transportation through properly licensed and insured affiliates, independent operators, chauffeurs, subcontractors, and other transportation companies when reasonably necessary.
Not every vehicle used to fulfill a WTM365 reservation is necessarily owned by WTM365. When an independent or affiliated transportation provider operates a trip, that provider is responsible for operating its vehicle and maintaining the licenses, insurance, permits, and other legal requirements applicable to its operation.
1.1 Eligibility and Age Requirement
You must be at least 18 years old to use our website or services, request a quote, submit a website form, create or manage a reservation, or consent to receive marketing communications. By taking any of these actions, you represent that you are 18 years of age or older and have the legal capacity to agree to these Terms.
A parent, legal guardian, school, employer, organization, or other authorized adult may arrange transportation for a minor. Minors may use transportation services only with authorization and supervision appropriate to their age and as required by law. WTM365 does not provide childcare or custodial supervision.
2. Quotes
A quote is prepared using the information available at the time it is requested. This information may include:
- Pickup location
- Destination
- Service date
- Pickup time
- Number of passengers
- Vehicle type
- Luggage
- Number of stops
- Service duration
- Flight information
- Airport
- Special requirements
- Event details
- Other itinerary information
Unless WTM365 specifically states otherwise in writing, a quote is an estimate and is not a confirmed reservation. Vehicle availability and pricing may change until the reservation is confirmed. A quote may also expire if it is not accepted within the time stated in the quote.
3. Customer Responsibility for Accurate Information
The customer or person making the reservation must provide complete and accurate information. This includes, when applicable:
- Passenger name
- Passenger telephone number
- Email address
- Pickup address
- Destination
- Pickup date
- Pickup time
- Passenger count
- Luggage information
- Flight number
- Airline
- Airport
- Vehicle requirements
- Accessibility needs
- Special instructions
- Stops
- Event information
If incorrect, incomplete, or late information causes additional time, mileage, expense, delay, or a change in transportation requirements, additional charges may apply.
4. Reservation Confirmation
A reservation is not confirmed until WTM365 accepts the reservation and provides confirmation. WTM365 may also require payment, a deposit, credit card authorization, a signed agreement, corporate account approval, or other authorization before a reservation becomes confirmed.
Customers should review all reservation confirmations carefully. Any error or requested correction should be reported as soon as possible.
5. Deposits
WTM365 may require a deposit to secure a reservation. Unless the written quote or confirmation specifically states otherwise, deposits are nonrefundable after the applicable cancellation period begins. Deposits are normally applied toward the final reservation amount.
Large events, specialty vehicles, group movements, multiple-vehicle programs, holidays, conventions, or high-demand dates may have different deposit requirements. Any special deposit terms stated in the written quote or confirmation will control that reservation.
6. Vehicle Requests and Substitutions
Vehicle photographs and descriptions displayed on our website or marketing materials are examples. Unless specifically confirmed in writing, WTM365 does not guarantee an exact make, model, model year, exterior color, interior color, vehicle configuration, amenity package, or individual vehicle.
WTM365 may substitute another vehicle of comparable or greater passenger capacity when reasonably necessary because of availability, operational requirements, mechanical issues, safety concerns, or another legitimate reason.
Passenger and luggage capacity can vary by vehicle configuration. Customers should provide accurate passenger and luggage information before booking.
7. Reservation Changes
Changes requested after a reservation has been confirmed are subject to availability. Changes may include pickup time, pickup address, destination, date, passenger count, vehicle type, number of vehicles, stops, airport, flight, service duration, event schedule, and other itinerary changes.
A change may result in a revised rate or additional charge. A major change may be treated as a cancellation of the original reservation and creation of a new reservation. A requested change is not confirmed until WTM365 accepts it.
8. Billing and Payment
Transportation services may be billed to an authorized credit or debit card, an approved customer account, a corporate account, or another payment method approved by WTM365.
WTM365 may accept American Express, Mastercard, Visa and Discover, subject to payment processor availability.
By providing payment information, the customer represents that they are authorized to use the payment method. The customer authorizes WTM365 to charge properly due amounts associated with the reservation.
9. Service & Technology Charge — STC
WTM365 may include a Service & Technology Charge, also referred to as STC, as part of the transportation rate quoted to the customer. The STC is a company charge designed to help offset costs associated with operating and supporting professional transportation services. These costs may include, among other things:
- Reservation technology
- Dispatch systems
- Flight tracking systems
- Communication systems
- Customer support
- Mobile and software technology
- Payment processing
- Administrative operations
- Insurance-related operating costs
- Licensing and compliance costs
- Vehicle coordination
- Affiliate and operator coordination
- 24-hour reservation and dispatch operations
- Other out-of-pocket operational expenses
The STC is part of the company's transportation pricing and is not a chauffeur gratuity or tip.
Where the STC is already included in a quoted total, it will not be separately added again unless the quote or confirmation clearly provides otherwise.
10. Chauffeur Gratuity
Gratuity is not included. A gratuity or tip is voluntary and is entirely at the discretion of the customer or passenger. Any additional cash or gratuity given directly to the chauffeur is voluntary. The STC described above is not a gratuity.
11. Additional Charges
Although WTM365 tries to provide accurate estimates, some costs may not be known until service is completed. Additional charges may apply when appropriate for:
- Additional stops
- Wait time
- Overtime
- Additional mileage
- Parking
- Tolls
- Congestion-related charges
- Airport fees
- Airport meet-and-greet services
- Venue fees
- Port fees
- Special permits
- Taxes
- Customer-requested itinerary changes
- Additional vehicles
- Additional service time
- Special equipment
- Cleaning
- Vehicle damage
- Other reasonable trip-related expenses
Your quote or confirmation may specifically identify charges that are already included.
12. Rates and Currency
Published rates and estimated prices are subject to change before a reservation is confirmed. Once a reservation has been confirmed, the confirmed rate applies subject to customer-requested changes, additional services, additional time, additional stops, additional costs, incorrect information provided by the customer, or other charges authorized by these Terms.
Charges are normally billed in U.S. dollars. If international pricing or another currency is referenced, the applicable conversion method or exchange rate may be determined when the transaction is processed unless another method was agreed in writing.
13. Airport Transportation
Customers requesting airport transportation should provide accurate airport, airline, flight number, flight date, arrival or departure time, and passenger telephone number.
WTM365 may use flight information to assist with coordinating airport transportation. Flight monitoring does not guarantee vehicle availability following an unusually long delay, diversion, cancellation, terminal change, or other major schedule disruption.
Customers should notify WTM365 as soon as reasonably possible when they learn of a major flight change.
14. Airport Pickup Procedures
Airport pickup rules may change because of airport regulations, Port Authority regulations, construction, traffic patterns, police instructions, terminal restrictions, security procedures, designated car-service pickup areas, or temporary roadway changes.
Customers must follow current pickup instructions provided by WTM365, dispatch, the chauffeur, airport authorities, or applicable transportation authorities. A chauffeur may not always be legally permitted to wait directly outside the terminal.
15. Airport Grace Period
Unless a different grace period is stated in the written confirmation, commercial airport pickups generally include up to 45 minutes of grace time after the verified flight arrival time.
If valid flight information was not provided, the grace period may begin from the scheduled reservation time instead. After the grace period expires, additional waiting charges may apply.
International arrivals, private aviation, groups, specialty vehicles, and other reservations may use different waiting policies. The written reservation confirmation controls when different terms are stated.
16. Non-Airport Grace Period
Unless the reservation confirmation states otherwise, non-airport pickups generally include 30 minutes of grace time from the scheduled pickup time.
After the grace period, wait time may be charged at the applicable vehicle rate.
A grace period does not require a vehicle to remain indefinitely when doing so would interfere with another reservation, safety, legal operating limits, driver-hour restrictions, venue restrictions, parking restrictions, or other operational requirements.
17. Additional Stops
Stops not included in the original reservation require approval. Additional stops may result in charges for additional time, mileage, parking, tolls, route changes, wait time, or other expenses.
A chauffeur may refuse an additional stop if it would create a safety, legal, scheduling, or operational problem.
18. Hourly Charter and Event Services
Hourly chauffeur and event transportation is billed according to the hourly or package rate stated in the reservation. Unless the confirmation states otherwise, fractions of an additional hour are rounded up to the next half-hour. Hourly minimums may apply.
Billable service may include time reasonably necessary to complete the agreed itinerary. Customers should allow realistic travel time for New York traffic and operating conditions. WTM365 cannot guarantee exact travel times.
19. Cancellation Policy
Cancellation requirements vary depending on the vehicle and type of service. Special written cancellation terms stated in a quote, confirmation, contract, event agreement, or reservation will control over these general rules. Unless different written terms are provided, the following general cancellation rules apply.
19.1 Sedan and SUV Transfer or Airport Reservations
Cancellation or material change of a sedan or SUV transfer or airport reservation within 2 hours of the scheduled pickup time may result in a charge of up to 100% of the confirmed reservation amount.
19.2 Hourly Sedan, SUV and Executive Van Services
Cancellation or material change of an hourly sedan, SUV, or executive van reservation within 24 hours of the scheduled pickup time may result in a charge of up to 100% of the confirmed reservation amount. This may include hourly transportation, private chauffeur service, and smaller vehicle event reservations.
19.3 Stretch Limousines, Minibuses and Motor Coaches
Cancellation or material change of a stretch limousine, minibus, motor coach, or comparable specialty large-vehicle reservation within 7 calendar days of the scheduled pickup may result in a charge of up to 100% of the confirmed reservation amount.
20. Special Cancellation Terms
Different cancellation rules may apply to:
- Mercedes Sprinter programs
- Large group transportation
- Multi-day trips
- Major conventions
- Weddings
- Concerts
- Sporting events
- Graduations
- Financial roadshows
- Major holidays
- New Year's Eve
- High-demand dates
- Multiple-vehicle reservations
- Transportation requiring third-party vehicles
- Special permits
- Driver lodging
- Long-distance transportation
- Special events
Those terms will be provided in writing when applicable.
21. No-Show Policy
A "No-Show" generally occurs when a passenger fails to arrive at the designated pickup location, cannot be reached using the contact information provided, fails to contact WTM365 within the applicable waiting period, or leaves the pickup location without reasonably attempting to contact WTM365 when the vehicle cannot be located.
A No-Show may result in a charge of up to 100% of the confirmed reservation amount, plus applicable wait time, parking, tolls, airport fees, service-related charges, and other expenses already incurred.

22. Passenger Conduct
Passengers must follow applicable laws and reasonable safety instructions from the chauffeur.
WTM365 or the operating chauffeur may refuse or terminate service when passenger behavior is dangerous, threatening, violent, severely abusive, illegal, destructive, seriously disruptive, or creates a significant risk to the chauffeur, passengers, vehicle, or public.
When service is properly terminated because of serious passenger misconduct, no refund may be due to the extent permitted by law.
23. Smoking, Vaping, Alcohol and Illegal Drugs
Smoking and vaping are prohibited in WTM365 transportation vehicles. Illegal drugs and unlawful activities are prohibited. Unless specifically authorized for a particular lawful service, alcoholic beverages are not permitted.
WTM365 and an operating transportation provider may prohibit alcohol at any time based on law, safety, vehicle rules, insurance requirements, or operating policy.
24. Passenger Responsibility for Damage
The customer is responsible for damage caused by the customer or anyone in the customer's party, whether caused intentionally or accidentally, except for normal wear and tear. This may include:
- Interior damage
- Seat damage
- Broken equipment
- Door damage
- Window damage
- Exterior damage caused by passengers
- Stains
- Smoking-related cleaning
- Excessive trash
- Bodily fluids
- Biohazard cleanup
- Extraordinary cleaning
WTM365 may charge reasonable costs associated with cleaning, inspection, repair, replacement, towing, vehicle downtime, or other directly related expenses, to the extent permitted by law.
25. Seat Belts and Child Safety Seats
Passengers should use available seat belts as required by law. Customers traveling with children must notify WTM365 of child-seat requirements before the reservation.
Unless WTM365 specifically agrees otherwise in writing, the parent, guardian, or responsible adult is responsible for supplying and properly installing any required child safety seat. WTM365 does not provide childcare or custodial supervision. Minors must be appropriately supervised.
26. Luggage
Customers must provide accurate luggage information. Tell WTM365 in advance about large quantities of luggage, oversized bags, golf equipment, strollers, wheelchairs, mobility equipment, musical instruments, large equipment, or other unusual items.
A vehicle may have enough seats for the passengers but insufficient luggage capacity. Items that cannot be safely transported may be refused.
27. Accessibility and Service Animals
Customers should provide accessibility or mobility requirements as early as possible. Advance notice helps WTM365 determine the most appropriate available vehicle and transportation arrangement.
WTM365 will handle legitimate accessibility requests and service animals in accordance with applicable law.
28. Lost Property
Passengers are responsible for their personal property. Before leaving the vehicle, passengers should check for phones, passports, wallets, luggage, keys, computers, documents, jewelry, and other personal belongings.
WTM365 will make reasonable efforts to help locate a reported lost item. WTM365 does not guarantee that a lost item will be found. Reasonable shipping, delivery, or return costs are the responsibility of the owner.
WTM365 is not an insurer of passenger property and is not responsible for lost or damaged property except to the extent responsibility is required by law.
29. Traffic, Weather, Delays and Circumstances Beyond Our Control
WTM365 will make reasonable efforts to perform confirmed transportation services. However, WTM365 and its affiliates are not responsible for delays or failures caused by circumstances beyond reasonable control. These may include:
- Traffic
- Road construction
- Road closures
- Accidents
- Weather
- Flooding
- Snow
- Ice
- Government action
- Police activity
- Public emergencies
- Airport operations
- Security events
- Venue restrictions
- Labor disruptions
- Mechanical breakdown despite reasonable maintenance
- Utility failures
- Communication failures
- Public-health emergencies
- Acts of third parties
- Passenger delays
- Other circumstances outside reasonable control
WTM365 cannot guarantee exact arrival or completion times.
30. Mechanical Breakdown and Replacement Transportation
Mechanical problems can occur even when vehicles are properly maintained. If a vehicle becomes unavailable because of a breakdown or another unexpected operational issue, WTM365 may make reasonable efforts to provide a replacement vehicle, arrange another qualified transportation provider, modify the transportation plan, or otherwise continue the service.
A replacement vehicle may not be the exact make, model, color, or configuration originally requested.
31. Independent Operators and Affiliates
WTM365 uses a network that may include independent chauffeurs, independent operators, affiliated transportation companies, subcontractors, and other licensed transportation providers.
Customers requesting transportation through WTM365 authorize us to provide information reasonably needed to arrange and perform the requested transportation. This may include passenger name, telephone number, pickup information, destination, flight information, vehicle requirements, passenger count, special transportation instructions, and other necessary reservation information.
The operating provider remains responsible for the legal operation of its vehicle.
32. Insurance
WTM365 and transportation providers operating reservations are expected to maintain insurance required by applicable law for their respective operations.
Certain events, venues, corporate programs, group transportation arrangements, or contracts may require additional insurance documents, certificates, permits, or other documentation. Any special requirements will be addressed when applicable.
33. Limitation of Liability
To the fullest extent permitted by law, WTM365 is not liable for indirect, incidental, special, punitive, exemplary, or consequential damages. This may include losses related to missed flights, missed cruises, missed trains, missed meetings, missed appointments, missed events, business losses, lost profits, loss of enjoyment, or other indirect loss.
Nothing in these Terms is intended to eliminate responsibility that cannot legally be excluded. This includes responsibility for gross negligence, reckless conduct, willful misconduct, or other liability that applicable law does not allow WTM365 to exclude.
To the fullest extent permitted by law, WTM365's contractual liability relating to a reservation will not exceed the amount paid to WTM365 for the affected transportation service.
34. Customer Responsibility and Indemnification
To the fullest extent permitted by law, the customer is responsible for claims, damages, fines, penalties, losses, and reasonable expenses caused by the customer's unlawful conduct, a passenger's unlawful conduct, damage caused by the customer's party, materially false information provided by the customer, or a serious violation of these Terms.
The customer is not responsible under this section for losses caused by WTM365's own negligence, gross negligence, reckless conduct, or willful misconduct to the extent applicable law provides otherwise.
35. Overtime
Customers are responsible for additional service time beyond the amount included in the confirmed reservation. Overtime will be billed according to the applicable vehicle rate or other pricing stated in the reservation.
For hourly services, fractions of additional time may be rounded according to the billing method stated in the reservation or these Terms.
36. Written Reservation Terms Control
Special terms that are mutually agreed upon and confirmed in writing may replace or modify these general Terms for a particular reservation. This may include rates, cancellation periods, deposits, vehicle requirements, minimum hours, event rules, payment schedules, special operating arrangements, or other reservation-specific conditions.
37. Governing Law
These Terms and transportation reservations with WTM365 are governed by applicable federal law and the laws of the State of New York.
To the extent permitted by law, any court action relating to these Terms or a WTM365 reservation must be brought in an appropriate state or federal court located in New York that has jurisdiction over the dispute.
Before beginning formal litigation, the parties should make a good-faith effort to resolve the issue directly when reasonably possible.
38. Changes to These Terms
WTM365 may update these Terms in the future to reflect changes in law, technology, operations, vehicles, market conditions, insurance requirements, business practices, or other legitimate reasons.
The updated version will be posted with a revised "Last Updated" date. Changes will normally apply prospectively.
A previously confirmed reservation will generally remain subject to the terms accepted at the time of confirmation unless the reservation is materially changed, the parties agree otherwise, or applicable law requires a change.
39. SMS and Text Messaging Terms
39.1 Transactional Messages
When you provide a mobile number in connection with a quote, reservation, active trip, payment, account, or customer-service request, you authorize WTM 365 Inc. dba U.S. Limosystems and service providers acting on its behalf to send nonmarketing text messages reasonably related to that request. Messages may include quote responses, reservation confirmations, pickup instructions, chauffeur information, schedule changes, trip updates, receipts, payment notices, safety information, and customer-support communications.
39.2 Optional Marketing Messages
If you separately check an optional marketing-SMS consent box or otherwise provide legally valid consent, you expressly agree to receive recurring promotional or marketing text messages from WTM 365 Inc. dba U.S. Limosystems at the mobile number you provide. Messages may be sent using automated technology. Consent is not a condition of purchasing or using transportation services. Message frequency varies. Message and data rates may apply.
39.3 Opt Out and Help
Reply STOP to opt out of marketing text messages. We will also honor other reasonable requests that clearly communicate a desire to stop, including CANCEL, END, QUIT, REVOKE, OPT OUT, or UNSUBSCRIBE. Reply HELP for help, call or text +1 516-217-5555, or email booking@wtm365.com. We may send one text confirming that an opt-out request has been processed. Necessary nonmarketing messages about an active reservation, requested service, safety matter, or account may continue when permitted by law.
39.4 Mobile Number Responsibility and Availability
You represent that you are the subscriber or customary user of the mobile number provided and are authorized to consent to messages at that number. Notify us promptly if the number changes or is reassigned. Delivery is subject to carrier and network availability and is not guaranteed. Carriers are not liable for delayed or undelivered messages.
39.5 Consent Records and SMS Privacy
We may maintain records of consent, the disclosure shown when consent was obtained, the date and method of consent, message activity, and opt-out requests.
SMS opt-in data, SMS consent records, and telephone numbers collected for SMS messaging are not sold or shared with third parties or affiliates for their own marketing or promotional purposes.
Limited information may be provided to vendors that support message delivery, consent management, security, customer service, or legal compliance.
39.6 Changes to the SMS Program
We may modify or discontinue an SMS program, change the sending number or short code, or update these SMS terms. Any renewed or additional consent will be obtained when required by law.
